1. Definition of Salon Authorized Independent Dealer (SAID)
An Salon Authorized Independent Dealer (SAID) member can be defined solely as active SAID. An active SAID, you have all the privileges of SAID Benefits. Inactive, suspended, or terminated SAID is a former SAID without the privileges of an active SAID. Inactive SAID will not have direct access to the PURCHASE ORDER and the discounted price structure unless his or her status has been reinstated and reactivated. More than one SAID can be referred to as AIDs, active SAIDs, SAID members, or active SAID members.
2. SAID Membership Eligibility
To become an active SAID member, you must meet and maintain the following legal requirements and conditions at and from the time of registration:
Be 18 years of age or older

Have a legal working visa
-
Have a permanent address for mailing and contact information
-
work as an independent contractor, for 1099 Form will be issued to each SAID after the end of each fiscal year
-
At this time, we are not accepting SAIDs registration outside the contiguous United States, except for Alaska and Hawaii. No international purchases will be available at this time.
To remain as an active SAID member, you must also meet the following criteria:

Purchase or sell more than $100 monthly
-
Must not sell Saiseiko products low or above the Manufacturer Suggested Retail Price (MSRP)
-
Represent Saiseiko products with complete honesty and integrity
3. Prospective SAID Membership
Any individual applying as a prospective SAID can purchase at MSRP price and New Jersey sales tax will apply. Even if he or she applies and receives SAID membership, previous purchase will not be eligible for SAID commission of 25%.
4. Deactivation, Suspension, or Termination of SAID Membership
Saiseiko USA, LLC reserves the right unconditionally to deactivate, suspend, or terminate your SAID member status at any time, and the decision will be effective immediately upon notice via email, mail, phone call, or phone text message. Saiseiko USA, LLC will not tolerate misrepresentation of Saiseiko products and may pursue criminal action against gross abuse of SAID privileges.
Any SAID who purchases less than $100 in a month will be given a Notice of Deactivation via email, mail, phone call, or phone text message. If an SAID purchases less than $100 for the second consecutive month, his or her SAID status will automatically be deactivated. Any inactive SAID must fill out and submit the SAID Reinstatement (AR) Form.
5. Reinstatement of SAID Membership
For reinstatement as an active SAID member, a former or inactive SAID member must fill out and submit the SAID Reinstatement (AR) Form with a stamped return address envelope and a $100 reinstatement fee in the form of a money order or cashier’s check payable to Saiseiko USA, LLC. If your AID membership is reactivated and you are reinstated, we will not refund your $100 reinstatement fee. If we do not reactive your AID membership and do not reinstate you, we will return the $100 reinstatement fee by mail. The third incidence of deactivation or suspension of SAID membership will automatically result in termination of your SAID membership permanently and reinstatement will not be granted, no exceptions.
6. Payment
A pro forma invoice will be sent to you (Please see a sample pro forma invoice copy) via email.

Payment definitions and process
Cashier’s Check (bank check) it is a check guaranteed by your bank. All cashier’s check and money order must be payable to “Saiseiko USA.”
Money order can be purchased at any banks, united postal service offices, and select local businesses, limited to a specified maximum amount of $1000 per money order.
Major credit cards include American Express, Discover, Master Card, and Visa. You can choose to pay this traditional way.
PayPal is an authorized credit card processing system, which gives you additional security, faster service, and an added protection against fraud and identity theft. You can transfer your money to pay for your online purchases through PayPal, which transfers the fund to the merchant. It is a free service to you. To setup a PayPal account and for more information, you can visit www.paypal.com and register. If you need further assistance with PayPal, you can contact our customer service at 201-585-2460/2461. Please be prepared with your personal information (such as credit card owner name, credit card billing address, credit card expiration date and CSC number*, contact phone number, personal email address and the amount of your order.
*CSC is a card security code written on the back of your credit card. A 3-digit code is generally on the signature panel, which is on the back of your Discover, Master Card, and Visa credit. For American Express credit card, the 4-digit code is printed on the right-hand side, above the credit card numbers.
If your transaction is declined for any reason, please consult with your credit card company or PayPal. Remember, you always have the option of paying by cashier’s check or money order.
7. Sales Tax
Each SAID will be issued a 1099 Form. Sales tax must be included in each sale and reported to the IRS directly by the SAID. It is not our responsibility to report sales tax for our SAIDs, for each SAID is an independent contractor or independent business owner; consequently, the 25% SAID commission will not include the sales tax. All prospective SAID purchases will be charged MSRP. New Jersey tax applies only to purchases made by New Jersey residents, for our business is based out of New Jersey.
8. Shipping
Every order will be shipped via priority mail (2 – 4 business days), FEDEX, UPS, or DHL. The shipping rates are based upon MSRP prices and before taxes:

Every shipping charge will be assessed before any commission or taxes. New Jersey sales tax rate will apply for prospective SAIDs who would like to try our products before registering as an SAID.
9. Returns
All returns must be pre-approved by Saiseiko USA, LLC and must be issued a RA number before any return process can occur. Once a RA number has been issued, the RA number must be clearly written on the outside of the package and all returns must be returned in the following manner:
1. Product(s) must be returned within seven (7) days of receipt of goods.
2. Product(s) must be in like-new condition without scratches, blemishes, or damages of any kind.
3. Product(s) must be returned with all original packaging and complete accessories
4. Product(s) must be accompanied with original receipt.
All returns sent to us without a RA number and without prior authorization from our customer service will not be eligible for any refund, and we will not be responsible for your returned product(s).
10. Care Instruction
CERA ionic shower heads can be cleaned with the exception of the Three-way (CE-13H) models. You can unscrew the front head of the One-way (CE-11H) models and remove any debris in the shower head. The fixed (CE-07K) model can be cleaned by unscrewing the bottom and the other components as shown in our video streaming of proper care of Saiseiko ionic shower heads.
Please be careful when handling any shower head unit for cleaning purposes. If you drop a shower head, it could crack, and Saiseiko USA, LLC will not cover the damages.
Please check the catch-screen once a week for any debris. Make sure that the valves are closed before you open the catch-filter unit and remove the debris inside. Periodic checkup is recommended for optimum use of SEM or Aquavortex Water Activator (AVS). The SEM or AVS itself does not require any maintenance after installation.
11. Caution
Please do not touch the SEM or Aquavortex Water Activator after installation and keep moveable objects away from it.
12. Installation
Please refer to the installation illustration and instruction for proper illustration of our products.

14. Warranty

1. Retain your dated “Proof of original purchase” and provide a copy at the time of service.
2. Receive an authorized RA number to return defective shower head.
3. Return the product in the original packaging. It must be shipped prepaid and insured to
Saiseiko USA, LLC. Saiseiko will pay return shipping charges if the repairs are covered by the original limited warranty.
The Responsibility of Owner
Saiseiko is limited to the repair or replacement of said product, at our option and shall not include damages of any kind, whether incidental, consequential or otherwise. Some states do not allow limitations on how long an implied warranty lasts and/or do not allow the exclusion or limitation of incidental or consequential liability.
Exclusion of Certain Damages
1. Any defect caused by or resulting from improper use, service, maintenance or repair.
2. Any damage occurred during shipping or transit resulting from misuse, abuse, neglect, accident, or tampering
3. Any commercial or industrial use unless authorized in writing by Saiseiko USA, LLC
4. Any damage as a result of over powering, accident, fire, flood, or any act of God”

1. Definition of Salon Authorized Dealer Distributor (SADD)
An Authorized Dealer Distributor (SADD) is our redistributor. An SADD could also be defined as active SADD or SADD member. More than one SADD will be referred to as SADDs, active SADDs, or SADD members. Our SADD has all the privileges of our SADD BENEFITS. Without being reinstated, inactive or suspended SADD will not have access to our Site and the privileges associated with that. Terminated SADDs are permanently removed from having access to our Site and do not have the privileges associated with that.
2. SADD Eligibility
To become an SADD, the following legal conditions must be met at and maintained from the time of registration:

Purchase $10,000 monthly

Maintain good payment standing
-
Keep our MSRP price structure, neither selling below or above our MSRP
-
Represent our products with honesty and integrity
A written SADD Agreement must also be signed for SADD membership to begin.
3. International Prospective SADD
All international prospective SADDs can email charles@ceraprofessional.com and our VP of Marketing & Sales will contact you. Please make sure you include your name, position, name of business, brief company profile, website information, and phone number.
4. Deactivation, Suspension, or Termination of SADD Membership
Saiseiko USA, LLC reserves the right unconditionally to deactivate, suspend, or terminate your SADD member status at any time. A Notice of Deactivation, Suspension, or Termination will be issued to you via email or certified mail, and the deactivation, suspension, or termination of your SADD membership will take effect after thirty (30) days. Under special circumstances, we reserve the right unconditionally to deactivate, suspend, or terminate your SADD status immediately when direct misrepresentation of Saiseiko USA, LLC or our products have been made public. In gross public misrepresentation of our company and our products, we will even take criminal action and prosecute you to the full extent of the law.
If you purchase less than $10,000 monthly, you will be given a Notice of Deactivation via email, mail, phone call, or phone text message. If you purchase less than $10,000 for the second consecutive month, your SADD status will automatically be deactivated or suspended immediately. As an inactive SADD, you must fill out and submit the SADD Reinstatement (SADDR) Form for reinstatement consideration. A recurrence of such infraction will automatically lead to termination, effective immediately; however, in occasions of sudden unforeseeable hardship, we will make special considerations at our discretion.
5. Reinstatement of SADD Membership
For reinstatement as an active SADD member, an inactive or suspended SADD member must fill out and submit the Active SADD Reinstatement (SADDR) Form. We will review your case thoroughly and take as much time needed to evaluate the merit of reinstating you as our SADD. Once you are reinstated as our SADD, you will once again have the benefits of being our SADD but with certain stipulations that must be met. These stipulations will be determined case by case. A second deactivation or suspension will automatically terminate your SADD membership and the benefits and privileges associated with that.
6. Sales Tax
You are responsible for your sales tax.
7. Payment
All payments are pre-paid or C.O.D unless a different payment arrangement has been agreed upon by us.
8. Freight and Shipping
Free freight is not included unless agreed upon by us. Generally, every order will be shipped within two (2) to four (4) business days. We will ship through our designated carrier. Our shipping department hours of operation are from 9:30 am to 2:00 pm Eastern Standard Time.
Even though we have a 2% Freight Damage Allowance, we will review each incidence carefully before issuing credit for freight damages. All boxes must be counted and missing boxes must be claimed on the Bill of Lading upon receipt of goods. All damage claims must be made within 24 hours of receipt of goods. We will not do any drop shipments.
9. Returns
