We welcome you to www.ceraprofessional.com, the authorized website of your Salon Authorized Dealer Distributor (SADD).  As used in this Benefit section, the terms "our," "we" and "us" refer to Saiseiko USA, LLC and "you" may refer to our SADD or SADDs, depending on the context.  The term "Site" will refer to our website www.ceraprofessional.com.  We thank for you opportunity to serve you on the internet, and we will provide the same quality support offline as well.

*Benefits
Every Salon Authorized Dealer Distributor (SADD) member has an opportunity to take advantage of incredible innovations that are eco-friendly and restorative in nature.  By working as our partner, you will have valuable tools and resources that will enable you to improve the world we live in and become the earth's ultimate guardian. Each qualified SADD will have 40% margin and 3% co-op.  Maximum 2% freight damage allowance is given to you for incidental damages at the end of each fiscal year.  We do, however, ask our SADDs not to abuse the freight damage allowance.  Furthermore, you will receive a flat $125 installation rebate for any Aquavortex Water Activator (AVS) and SEM300 installed.  You will receive a flat $250 installation rebate for SEM500 and higher models.  All rebates will be recorded and credited to you for future purchase of our products once you have submitted a proof of installation (name of owner or manager, location, and date of installation).  Most orders will be shipped out within three (3) working days of purchase order receipt confirmation.  For any prolonged delay, an email notification will be sent to the SADD with specific reason for the delay.  Each SADD applicant must register with, receive proper authorization from, and be assigned a USER ID number by Saiseiko USA, LLC to become an active SADD.

We will continue to add new products and innovations for your benefit of and for the benefit of the customers you serve.  Patent-pending CERAWARETM ceramic processed eco-friendly biodegradable bottles, 100% all natural shampoos and conditioners, 100% cotton socks and towels processed with our ceramic technology, and other professional beauty-related products will be available to you in the near future.  Furthermore, a naturally acting sanitizer-no chemicals-Sandoeku will be available to our SADDs.  Other product innovations are in the development stage, will undergo many tests, and are projected for sales in the Fall of 2009.  Products that you have only dreamt about will be in your hands, because as our ADDs, you are the main liaison to all the professionals throughout the world.

In our continued effort to protect, preserve, and restore the natural eco-system, we will also begin our CPR (Conservation-Preservation-Restoration) Program, setting aside 1% of every dollar generated with our sales for the purpose of keeping our eco-system healthy.  The pilot project will need your input and insight.  We alone cannot adequately protect and serve the world that provides us with the very sustenance to live.

Any forward-looking statement expressed or written by Saiseiko USA, LLC is not intended to mislead anyone but to offer truly what the possibilities of earth-conscious innovations can bring to the welfare of the world we live in. 1. Definition of Salon Authorized Dealer Distributor (SADD)
An Salon Authorized Dealer Distributor (SADD) is our redistributor.  An SADD could also be defined as active SADD or SADD member. More than one SADD will be referred to as SADDs, active SADDs, or SADD members.  Our SADD has all the privileges of our SADD BENEFITS.  Without being reinstated, inactive or suspended SADD will not have access to our Site and the privileges associated with that.  Terminated SADDs are permanently removed from having access to our Site and do not have the privileges associated with that.

2. SADD Eligibility
To become an SADD, the following legal conditions must be met at and maintained from the time of registration:

1.	Purchase $10,000 monthly
2.	Maintain good payment standing
3.	Keep our MSRP price structure, neither selling below or above our MSRP
4.	Represent our products with honesty and integrity

A written SADD Agreement must also be signed for SADD membership to begin.

3. International Prospective SADD
All international prospective SADDs can email charles@ceraprofessional.com and our VP of Marketing & Sales will contact you.  Please make sure you include your name, position, name of business, brief company profile, website information, and phone number.

4. Deactivation, Suspension, or Termination of SADD Membership
Saiseiko USA, LLC reserves the right unconditionally to deactivate, suspend, or terminate your SADD member status at any time.  A Notice of Deactivation, Suspension, or Termination will be issued to you via email or certified mail, and the deactivation, suspension, or termination of your SADD membership will take effect after thirty (30) days.  Under special circumstances, we reserve the right unconditionally to deactivate, suspend, or terminate your SADD status immediately when direct misrepresentation of Saiseiko USA, LLC or our products have been made public.  In gross public misrepresentation of our company and our products, we will even take criminal action and prosecute you to the full extent of the law.

If you purchase less than $10,000 monthly, you will be given a Notice of Deactivation via email, mail, phone call, or phone text message.  If you purchase less than $10,000 for the second consecutive month, your ADD status will automatically be deactivated or suspended immediately. As an inactive SADD, you must fill out and submit the SADD Reinstatement (ADDR) Form for reinstatement consideration.  A recurrence of such infraction will automatically lead to termination, effective immediately; however, in occasions of sudden unforeseeable hardship, we will make special considerations at our discretion.

5. Reinstatement of SADD Membership
For reinstatement as an active SADD member, an inactive or suspended SADD member must fill out and submit the Active ADD Reinstatement (ADDR) Form.  We will review your case thoroughly and take as much time needed to evaluate the merit of reinstating you as our SADD. Once you are reinstated as our SADD, you will once again have the benefits of being our SADD but with certain stipulations that must be met.  These stipulations will be determined case by case.  A second deactivation or suspension will automatically terminate your SADD membership and the benefits and privileges associated with that.

6. Sales Tax
You are responsible for your sales tax.

7. Payment
All payments are pre-paid or C.O.D unless a different payment arrangement has been agreed upon by us.

8. Freight and Shipping
Free freight is not included unless agreed upon by us.  Generally, every order will be shipped within two (2) to four (4) business days.  We will ship through our designated carrier.  Our shipping department hours of operation are from 9:30 am to 2:00 pm Eastern Standard Time.

Even though we have a 2% Freight Damage Allowance, we will review each incidence carefully before issuing credit for freight damages.  All boxes must be counted and missing boxes must be claimed on the Bill of Lading upon receipt of goods.  All damage claims must be made within 24 hours of receipt of goods.  We will not do any drop shipments.

9. Returns
We will not take returns unless it is our fault for sending the wrong items.  Any return must be pre-approved by us and issued a RA number.  Once a RA number has been issued, the RA number must be clearly written on the outside of the package and all returns must be returned in the following manner:

1. Product(s) must be ready for pickup.
2. Product(s) must be returned within seven (7) days of receipt of goods.
3. Product(s) must be in like-new condition without scratches, blemishes, or damages of any kind.
4. Product(s) must be returned with all original packaging and complete accessories

10. Care Instruction
With proper care, CERAWARE™ tea stone and cooking stone will last for years.  We do, however, recommend that you replace your CERAWARE™ cooking stone every three years.  If you use it commercially, please replace your CERAWARE™ cooking stone after one year of use.  Since both CERAWARE™ tea stone and cooking stone are portable, you can take it wherever your go.

Saiseiko ionic shower heads can be cleaned with the exception of the Three-way (SA-13H) models.  You can unscrew the front head of the One-way (SA-11H) models and remove any debris in the shower head.  The fixed (SA-07K) model can be cleaned by unscrewing the bottom and the other components as shown in our video streaming of proper care of Saiseiko ionic shower heads.

Please be careful when handling any shower head unit for cleaning purposes.  If you drop a shower head, it could crack, and Saiseiko USA, LLC will not cover the damages.

Please check the catch-screen once a week for any debris.  Make sure that the valves are closed before you open the catch-filter unit and remove the debris inside.  Periodic checkup is recommended for optimum use of SEM or Aquavortex Water Activator (AVS).  The SEM or AVS itself does not require any maintenance after installation.

11. Caution
Do not use the CERAWARE™ tea stone without placing it in a tea bag or a tea infuser.  Do not put the tea stone in your mouth for it may cause choking or damage to your teeth.  Do not throw the CERAWARE™ tea stone.  Please handle CERAWARE™ cooking stone with care. CERAWARE™ cooking stone will break if you drop it.  CERAWARE™ cooking stone and tea stone, keep them away from children.  Do not be fooled by imitations.  Our cooking and tea stones are FDA approved products.

Please do not touch the SEM or Aquavortex Water Activator after installation and keep moveable objects away from it.

12. Installation
Please refer to the installation illustration and instruction for proper illustration of our products.

13. Customer Service

14. Warranty
Ceraware tea stone and cooking stone 	One (1) Year Limited Warranty
Saiseiko ionic shower heads 		One (1) Year Limited Warranty
SEM or Aquavortex Water Activator 	Three (3) Year Limited Warranty

1. Retain your dated "Proof of original purchase" and provide a copy at the time of service.
2. Receive an authorized RA number to return defective shower head.
3. Return the product in the original packaging.  It must be shipped prepADD and insured to 
Saiseiko USA, LLC.  Saiseiko will pay return shipping charges if the repairs are covered by the original limited warranty.

The Responsibility of Owner
Saiseiko is limited to the repair or replacement of said product, at our option and shall not include damages of any kind, whether incidental, consequential or otherwise. Some states do not allow limitations on how long an implied warranty lasts and/or do not allow the exclusion or limitation of incidental or consequential liability.

Exclusion of Certain Damages
1. Any defect caused by or resulting from improper use, service, maintenance or repair.
2. Any damage occurred during shipping or transit resulting from misuse, abuse, neglect, accident, or tampering 
3. Any commercial or industrial use unless authorized in writing by Saiseiko USA, LLC
4. Any damage as a result of over powering, accident, fire, flood, or any act of God"
